BAKU, Azerbaijan - Bank Respublika has completed its transaction to acquire AccessBank, while the integration of the two banks into a single institution remains a separate next step planned for 2027.
AccessBank Chairman David Tsiklauri announced the completion in comments to APA-Economics.
Tsiklauri said AccessBank’s return on equity has remained above 25% since 2023. Over the same period, value created for shareholders increased about 3.5 times, with an average annual growth rate of 28.5%, he said.
Transaction Structure
Under the previously announced terms, Bank Respublika is acquiring 100% of AccessBank’s shares. AccessBank’s former shareholders will receive newly issued preferred shares representing a combined 25% of Bank Respublika’s charter capital.
Bank Respublika has estimated that the future combined bank will have total assets of 4.5 billion manats and a loan portfolio of 3.3 billion manats.
What Changes for Customers
Completion of the share purchase does not mean AccessBank will immediately disappear as a separate bank. The institutions must still complete their integration in accordance with regulatory requirements.
AccessBank said in an updated customer advisory that clients do not need to take any action at this stage. Accounts, cards, mobile banking, loan agreements and deposit contracts continue under their existing terms, and branches remain open.
The bank said the integration into a single institution is expected to be completed in 2027. Customers will be notified in advance of any changes affecting their accounts or services.
